01Purpose
Máximo Pay is a payment facilitation platform that allows legal entities and individuals engaged in economic activity ("User") to create Pix charges (QR Code and copy-and-paste), receive the corresponding funds in a digital wallet, track transactions, configure notifications (webhooks) and request payouts via Pix.
Máximo Pay is neither a financial institution nor a payment institution. Pix transactions are settled by institutions authorised by the Central Bank of Brazil, with which Máximo Pay holds service agreements.
02Registration and identity verification (KYC)
To use the platform, the User must provide true, complete and up-to-date information, including CPF or CNPJ, contact details and the supporting documents requested during the identity verification process.
Máximo Pay may, at any time, request additional documents, restrict features or refuse registration when verification is not completed or when there are signs of irregularity, in compliance with anti-money-laundering and counter-terrorism-financing legislation.
The User is responsible for safeguarding access credentials, API keys and webhook secrets, as well as for every operation performed with them.
03User obligations
When using the platform, the User undertakes to:
- use Máximo Pay only for lawful activities consistent with the business purpose stated at registration;
- not process payments on behalf of unregistered third parties, nor use the platform for activities prohibited by law or by the Pix scheme rules;
- keep registration data up to date and immediately report any unauthorised use of the account;
- comply with applicable law, including consumer protection rules in dealings with its own customers;
- not attempt to circumvent the platform's security mechanisms, operational limits or risk controls.
04Fees
For the use of the services, Máximo Pay charges the fees disclosed in the account dashboard and/or in the commercial agreement signed with the User, which may include a fixed amount and/or a percentage per charge received and per payout.
Fees are deducted automatically from transacted amounts or from the available wallet balance. Fee changes will be communicated at least 30 (thirty) days in advance.
05Payouts and balance availability
The available balance may be withdrawn to a Pix key or account held by the User, subject to operational limits, processing windows and applicable security checks, including two-factor authentication when enabled.
Máximo Pay may withhold funds, in whole or in part, for the time required to investigate suspicious transactions, disputes, court orders or determinations by competent authorities.
06Suspension and termination
Máximo Pay may suspend or terminate the User's account, upon notice, in the event of a breach of these Terms, well-founded suspicion of fraud, misuse, prolonged inactivity or by legal or regulatory determination.
The User may request account closure at any time. Closure does not waive the obligation to settle outstanding fees nor Máximo Pay's right to withhold funds in the cases described in section 5.
07Limitation of liability
Máximo Pay will use its best efforts to keep the platform available and secure, but does not guarantee uninterrupted operation, particularly due to maintenance, third-party failures (settlement institutions, infrastructure providers, the Central Bank) or force majeure events.
Máximo Pay is not liable for transactions ordered by the User to incorrect recipients, for commercial relationships between the User and its customers, nor for indirect damages or loss of profits, to the extent permitted by law.
08Intellectual property
The platform, its brand, documentation, code and other content are owned by Máximo Pay or its licensors. The User is granted a limited, non-exclusive and revocable licence to use them solely for integrating with the contracted services.
09Changes to these Terms
These Terms may be updated from time to time. The current version will always be available on this page, with the date of the last update. Material changes will be communicated through the dashboard or by e-mail, and continued use after notice constitutes acceptance of the new version.
10Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of [ENDEREÇO] are elected to settle any dispute, waiving any other, however privileged, except for the consumer's domicile where applicable.
Questions about these Terms may be sent to [E-MAIL DO DPO].
